Vendor Terms and Conditions

The agreement governing Vendors on the Localhearts platform

1 Definitions and Interpretation
"Agreement"
means these Vendor Terms and Conditions, the Vendor Payout & Settlement Policy, and any other policies or addenda incorporated by reference.
"Localhearts", "We", "Us", "Our"
refer to S.N.R.U.PVT.LTD, operating the Localhearts Platform.
"Vendor", "You", "Your"
refers to the seller, merchant, restaurant partner, business owner, or trader who registers on the Localhearts Platform to offer products or services for sale to Users.
"Platform"
means the Localhearts website and mobile application.
"User", "Customer"
means a buyer who purchases products or services from a Vendor through the Platform.
"Order"
means a transaction initiated by a User to purchase a Vendor's product/service via the Platform.
"Payout"
means the settlement amount due to the Vendor after deducting applicable fees, taxes, and other charges.
2 Scope and Role of Localhearts
2.1

Localhearts operates as a technology intermediary under the Information Technology Act, 2000 and the Consumer Protection (E‑Commerce) Rules, 2020.

2.2

Localhearts provides the Platform to enable Vendors to list, advertise, and sell their products/services to Users. Localhearts does not take ownership, possession, or title of any Vendor products.

2.3

Localhearts facilitates order processing, payment collection, and communication, but is not a party to the bipartite sale contract between Vendor and User.

3 Vendor Eligibility and Registration
  • The Vendor must be a legally registered entity or an individual competent to contract under Indian law (18 years or above).
  • The Vendor must provide accurate, complete, and up‑to‑date information, including business name, GSTIN (if applicable), PAN, bank account details, address, and contact information.
  • Localhearts reserves the right to verify Vendor credentials and may reject or suspend any registration at its sole discretion.
4 Listing and Product/Service Obligations
4.1

The Vendor shall ensure that all product/service listings (including descriptions, images, prices, and specifications) are accurate, lawful, and not misleading.

4.2

The Vendor is solely responsible for compliance with all applicable laws, including the Legal Metrology Act, Food Safety and Standards Act (for restaurants/food sellers), Consumer Protection Act, and any other sector‑specific regulations.

4.3

The Vendor shall maintain sufficient stock or availability of listed products/services and shall not list items that are prohibited, counterfeit, stolen, or infringe third‑party intellectual property.

5 Order Fulfilment and Delivery
5.1

Upon receiving an Order notification through the Platform, the Vendor must accept or reject the Order within a reasonable time (e.g., 15 minutes for restaurants, as notified on the Platform). Failure to accept may result in automatic cancellation.

5.2

The Vendor shall prepare the Order with due care and quality, and ensure that it is properly packaged, labelled, and safe for delivery or pickup.

5.3

The Vendor may arrange delivery through its own logistics, engage third‑party delivery partners, or offer self‑pickup to Users. Localhearts does not provide delivery services unless expressly agreed in writing.

5.4

The Vendor shall be responsible for any delay, damage, or loss occurring from the point of Order acceptance until delivery to the User, except where caused solely by the User or Localhearts' gross negligence.

6 Pricing, Subscription, and Fees
6.1

The Vendor determines the selling price of its products/services, subject to any maximum retail price (MRP) or legal requirements.

6.2

Localhearts charges the Vendor a subscription every month. The subscription rate shall be communicated in the Vendor dashboard or a separate agreement and may vary vendor to vendor.

6.3

All fees are exclusive of applicable taxes (e.g., GST), which shall be borne by the Vendor as per law.

7 Payments and Payouts
7.1

Localhearts collects the Order amount from the User on behalf of the Vendor via the available payment methods (credit/debit cards, UPI, net banking, COD, etc.).

7.2

The collected amount is held in a designated escrow or settlement account. From this amount, Localhearts deducts:

  • Any other applicable fees;
  • Reversals, chargebacks, or refunds;
  • Taxes are required by law.
7.3

The net amount (Payout) is transferred to the Vendor's registered bank account in accordance with the Vendor Payout & Settlement Policy.

8 Returns, Refunds, and Chargebacks
8.1

If a User requests a return or refund under the Platform's Cancellation, Returns & Refunds policy (applicable to Users), the Vendor shall be informed. The Vendor must respond promptly.

8.2

If the refund is approved (due to damaged, defective, expired, or incorrectly delivered products), Localhearts may reverse the transaction and deduct the refunded amount from the Vendor's future payouts.

8.3

Chargebacks initiated by the User's bank (e.g., for fraudulent transactions) shall be borne by the Vendor if the Vendor is found at fault. Localhearts may recover such amounts from pending payouts.

9 Prohibited Conduct by Vendors
9.1 — Vendors shall not:
  • List or sell prohibited, counterfeit, illegal, or unsafe products;
  • Manipulate pricing, reviews, or ratings.
  • Engage in fraudulent transactions (e.g., placing fake orders with the intent to claim payouts).
  • Use the Platform to solicit customers for off‑platform transactions to avoid fees.
  • Violate any applicable law, including tax and consumer protection laws.
10 Suspension and Termination
10.1

Localhearts may suspend or terminate a Vendor's account with notice (or without notice in case of urgent breach) if the Vendor violates these Terms, engages in fraud, or causes harm to Users or the Platform.

10.2

Upon termination, all pending payouts shall be settled after deducting any outstanding dues, penalties, or refund liabilities.

10.3

Clauses relating to intellectual property, liability, indemnity, and dispute resolution shall survive termination.

11 Indemnity and Liability
11.1

The Vendor agrees to indemnify and hold harmless Localhearts, its officers, directors, employees, and affiliates from any claims, losses, damages, or expenses (including legal fees) arising out of:

  • Breach of these Vendor Terms;
  • Any violation of law by the Vendor;
  • Any product liability, personal injury, or property damage caused by the Vendor's products or services.
12 Governing Law and Dispute Resolution
12.1

These Vendor Terms shall be governed by the laws of India.

12.2
Jurisdiction: Any dispute arising between Vendor and Localhearts shall first be attempted to be resolved amicably. If not resolved, the dispute shall be subject to the exclusive jurisdiction of the courts at Patna, Bihar.
13 General Provisions
13.1

Localhearts may amend these Vendor Terms from time to time. Notice will be provided through the Vendor dashboard or email. Continued use of the Platform constitutes acceptance.

13.2

If any provision is held invalid, the remainder shall continue in full force.

13.3

These Terms constitute the entire agreement between Vendor and Localhearts regarding the subject matter.
